MIAMI, FL / ACCESSWIRE / September 6, 2022 /
Digital World Acquisition Corp. (NASDAQ:DWAC) ("Digital World" or the "Company") today announced that the special meeting of stockholders (the "Special Meeting"), which was originally scheduled for September 6, 2022, is being adjourned to 12:00 p.m. Eastern Time on September 8, 2022.
The Special Meeting is for stockholders to consider amending the Company's amended and restated certificate of incorporation ("Extension Amendment") to extend the period of time for completing a business combination up to four times, each by an additional three months, for an aggregate of 12 additional months (or until September 8, 2023) or such earlier date as determined by the Company's Board of Directors (the "Extension").
The record date for the stockholders' meeting to vote on the Extension remains the close of business on August 12, 2022 (the "Record Date"). Stockholders who have previously submitted their proxy or otherwise voted and who do not want to change their vote need not take any action. Stockholders as of the Record Date can vote, even if they have subsequently sold their shares.
The Company also announced that it has provided a third telephone line to facilitate the voting process for shares held in "street" name. Stockholders can now call (786) 677-4893, in addition to (786) 206-8970, for step-by-step assistance on how to vote. Stockholders can also continue to vote by internet or by phoning the Company's proxy solicitor, Saratoga Proxy Consulting LLC ("Saratoga Proxy"), at (888) 368-0379 or (212) 257-1311. Votes will be accepted up to and during the adjourned meeting.

In connection with the adjourned date, the Company has extended the deadline for holders of the Company's Class A common stock issued in the Company's initial public offering to submit their shares for redemption in connection with the Extension to 5:00 p.m. Eastern Time on September 7, 2022. Shareholders who wish to withdraw their previously submitted redemption request may do so prior to the rescheduled meeting by requesting that the transfer agent return such shares.
If the Extension Amendment is not approved by the stockholders by September 8, 2022, ARC Global Investments II, LLC, the Company's sponsor (the "Sponsor"), intends to contribute to the Company's trust account an aggregate amount of $2,875,000, which is equal to $0.10 per share of Class A common stock issued in the Company's initial public offering, to extend the time to consummate an initial business combination for a three-month period, until December 8, 2022. Such contribution would be made as a loan that would not accrue interest and would either be paid upon earlier of consummation of an initial business combination or the company's liquidation, or, at the lender's discretion and subject to certain conditions, converted upon consummation of the initial business combination into additional into units, at a price of $10.00 per unit, identical to the units issued in the Company's private placement that was consummated in connection with the Company's initial public offering. The contribution will increase the pro rata portion of the funds available in the Company's trust account in the event of the consummation of an initial business combination or liquidation from approximately $10.20 per share to approximately $10.30 per share.

Some of you may know my theory, but I thought I should put it out here anyway. This covid bullshit isn't the end game, not by a long shot. Trump, by speeding up the vaccine process threw a wrench in the plans. We were supposed to be locked down much longer, our economy was supposed to crash "naturally" due to the pandemic. We were supposed to suffer through supply shortages, employee shortages, and every other fucking shortage due to covid. No one is buying it anymore.
So, big pharma did what they do, jump on a money opportunity. They pushed out a patented genetic modification shot they were hoping to have a lot more time to disperse through various other channels. Trump, having to remain neutral for optical reasons, had to push these vaccines to stop the larger plan from taking shape. He will be tainted in history for this, it's a necessary evil.
Anyway, back to my theory. What we are beginning to see is the MSM reporting on vax injuries. This sort of "reporting" is going to increase. This is what they are building 2024 on. They are going to say that Trump rushed the vaccines, which maimed and killed thousands, if not millions of people. The same people who fucking screamed vaccine are going to scream trump's vaccines killed people. You fucking watch. Who made the fucking vaccines? Did Trump or anons make them? No, Big fucking pharma losing a chess match made them.
That is why boards like this see huge upvotes for vaccine or covid related posts. It's planned, and agent provocateurs are amongst us now pushing the same vaccine bullshit posts relentlessly. Many of you soldiers in the shadows know exactly what I'm talking about. This is a coordinated effort to divide, and conquer that will never work as far as I'm concerned. It has become too much for me. I'm starting to crack. Most of what I read is more and more bad news. The articles posted here are always seeming to be inflammatory, and negative in nature. I'm well beyond hesitant to look at this board. Most of you know where these articles come from. They all seem to drive a negative impulse into us.
I love this place, and all of you tirelessly working your asses off. We need to take a serious look at what is being pushed into our minds.
I wake up in the morning, dreading the workday, and it starts off with checking this board. Fuck, more bad news. More bad news from the same sources. I try so hard to find a glimmer of light in a post to sticky, but it's almost gone.
I'm seriously debating walking away from this place. There is little light here, just more storm clouds. The worst thing is, it's not even close to how bad it is gonna get. The storm clouds will get darker, and I just want to take my hands off the fucking wheel at this point and just say fuck it.
I had big hopes for Truth Social, but it seems it's just a bunch of follower hungry fags looking for recognition. Jesus Christ, "re-truth this if you agree!" Fucking stupid. Sorry if I'm lame and don't understand the workings of twitter, I never fucked with it.
I just see a platform pre-infected with cancer. Cliques of "Q-Influencers" posting shit a few days later after it is posted here and claiming it is "breaking news". I get why truth social is needed for people who can't handle a place like poal, but for now it's a lame circle-jerk for the ever growing conglomerate of "WeTheMedia". It sucks seeing the same fucking story posted by 10 different people because they are obligated to do so it seems.
A lot of us ended up here because of the corrupt social-media complex forced us out numerous times from many platforms. I've learned once we are at this point, there is no going back to the tired old model. We are forever at the outpost, we've seen too much, and cloning the bad in hopes it does good is stupid.
I've realized that we are the news, we fight in the trenches, and they are the re-tweet craving faggots only in it for self gratification.
Sorry, I'm rambling, and beyond exhausted. Just needed to vent, and you fine people have always listened. I hope I wake up tomorrow feeling different, and I may. I just think I need a break. If you see no stickies, it's not because your post isn't worthy, or I've given up, it's just because I know you all will continue to work regardless.
