Remington was going bankrupt for a second time. They even moved their manufacturing to Alabama and Georgia and out of NY due to laws passed by NY that would have messed with them legally.

That plus low sales and the Sandy Hook lawsuit made them declare bankruptcy and Roundhill scooped them up.
