ATC did give enough warning to " pass behind the CRJ" - "see and avoid"

ATC did provide " explicit permission" as communications indicated. ATC comm to PAT25: "PAT25, do you have the CRJ in sight? PAT 25 pass behind the CRJ,"

I listened to the audio and there were about 2 or 3 seconds between asking if Helo could see CRJ, there was no response, and then impact occurred.
