Sorry, the Fed was not incorporated in FL. There were 12 Feds incorporated in 12 States. The NYFed was the most important one, and "Rules them all." The BoG (Board of Governors) was incorporated in DC (if iirc), and acts as an Advisory board only (no legal authority to act on the Fed)..
It was the IRS that was first incorporated in FL. There were sister companies incorporated in every state. The one in FL was just the first.

I'm not sure. Maybe. Probably. But the IRS is a sole subcontractor for the US Treasury. I don't know if there are any exceptions because of that status. It is an interesting question though.
