Many reasons... the SPAC has been stalled by Gary Gensler and the SEC for longer then any other SPAC in history (political motive).
Congress has battled the SEC on many public hearings to get this stall job ended.
Currently the SEC drained the clock on the timer for the SPAC to merge with TMTG. This vote gives it more time to complete the merger.
DWAC had a set amount of time to get the merger done and as mentioned this gives them more time due to SEC fuckery.
