If Elon completes the purchase at $44B and it is discovered a few weeks later that the deal was consumated on the basis of fraud by the Twitter board there will be a huge blowup and it will be headline news for weeks.
Even after the deal is signed by all parties it has to be reviewed by the SEC before it is finalized and money actually changes hands. The review may take four to eight weeks.
This is another elegant ploy by Elon. Twitter is now forced to put up or shut up. If the board accepts his offer their crimes and fraud will all be exposed. If they try to reject Elon's offer they are in an equivalent situation. Their con of the world's people will be exposed as they try to justify refusing an offer they have sued Elon to complete.
So Twitter is at lose - lose. Not a good situation to be in.
Elon, on the other hand, can't lose. If Twitter completes the deal and there is no hidden fraud he gets the world's most influential tweet platform for a fair price and will grow it exponentially.
If there is fraud that remains hidden It will be exposed and Elon will not be compelled to complete a deal made with fraud by the seller.
Cuz fraud vitiates everything.
So Elon is at win - win.
Also Patriots and white hats are riding with Elon.

You have to have reasonable reliance on a fraudulent statement to pursue that, and at this point given his skepticism he should have done some due diligence on the bot thing.

Oh ya. I’ve seen one of those charts that track the wealthiest in the world over years I think it’s on YouTube. Elon absolutely exploded not long ago. Can anyone compose a ranked list (by contract value) of Pentagon contractors? I am so used to (e.g.) Lockheed, or Raytheon, or Boeing or Northrop being in the top ranking that it is REAL NEWS if Musk (SpaceX?) is now tops.
